Risk Disclosure

Read this before you launch, buy, lock or claim anything.

In short

  • Memecoins usually lose most or all of their value. Only use money you can afford to lose completely.
  • Locking a bag is permanent. You can never get it back.
  • HeldFor is custodial. Bags are held in HeldFor’s custody wallet and released only to the verified X owner. A leaked custody key, or a failure on our side, could lose every bag.
  • Claims depend on our server and on X. If either fails, claiming can stop or, in the worst case, go to the wrong person.

1. Memecoin risk

  • Memecoins have no intrinsic value, no issuer obligations and no rights attached. Their price comes only from what other people pay.
  • Prices can fall to zero in minutes. Most new coins on pump.fun never trade much after launch.
  • Liquidity is thin. Selling a large amount moves the price; you may get far less than the value shown, or be unable to sell at all.
  • Anyone can create a coin with any name or image. Copies, scams and coordinated dumps (“rugs”) are common.
  • Trading memecoins can be addictive and resemble gambling. If it stops being fun, stop.

2. Launching and locking

  • The dev buy (the SOL you spend on the bag) is not recoverable. You keep the coin’s creator-fee share (80%), which may be zero if nobody trades.
  • A large dev buy makes the bag expensive and can look suspicious to traders. Most launches use 1–3%.
  • The lock fee for existing coins and all network fees are non-refundable.
  • pump.fun’s fee sharing is set once at launch and can’t be changed later, by you or by us. Fees after a coin graduates to PumpSwap follow pump.fun’s rules, which may change.
  • Whatever you upload (name, image, description) is public and effectively permanent.

3. For recipients

  • A bag held for you has whatever value the market gives it, which may be nothing. It is not a payment, a promise or a gift from HeldFor.
  • Claimed bags pay out over 30 days. The price can fall a lot in that time.
  • Burning is permanent.
  • Check the destination wallet carefully: it can’t be changed after you start a claim.
  • Receiving or selling tokens may be taxable and may have legal or reputational effects for you, especially if you are a public figure.

4. Custody risk

  • Every bag sits in one custody wallet controlled by one key held by HeldFor. No smart contract limits what that key can do. Whoever controls it can move or burn every bag. If it were stolen or lost, bags could be lost for good.
  • Mitigations: the key is used only by our server; every transfer out is journaled before it is sent; the wallet balance is reconciled against our ledger on every indexer pass and alerts us on any shortfall; large claims wait for manual review.
  • HeldFor depends on Solana, SPL Token / Token-2022 and pump.fun’s programs, which can have bugs or change.
  • Solana transactions are final. A mistaken transaction can’t be reversed.

5. Operator risk

Because HeldFor is custodial, you rely on HeldFor to keep running and to follow its rules: release a bag only to the verified X owner, only to the wallet they chose, on the published schedule. If HeldFor stopped operating, bags could stay stuck in the custody wallet.

6. Claim risk

Bags are released only after an X login. If our login flow or server were compromised, unclaimed bags could be claimed or burned by the wrong person. Mitigations: rate limits, monitoring and manual review of large claims. If our service is down, nobody can claim or withdraw until it is back; the tokens stay in the custody wallet meanwhile.

7. Your wallet and your X account

  • Anyone who gets into your X account can claim your bags. Use two-factor authentication on X.
  • Anyone with your wallet’s keys or seed phrase can take what it holds. We will never ask for them.
  • If you lose access to your X account permanently, your bags may never be claimable.
  • Phishing sites can copy HeldFor. Check the address: heldfor-web.fly.dev.

8. Devnet and mainnet

On devnet (the test network) everything is fake: tokens and SOL have no value, data may be reset, and test X accounts are used. On mainnet, everything is real and final. The site shows the network on /docs; your wallet shows it too. Never send real funds to a devnet address.

9. Third-party risk

HeldFor depends on Solana, pump.fun, X, Privy, wallets, RPC providers (Helius), AWS and hosting providers. Outages, policy changes, API price changes or shutdowns can break launching, claiming, the bot or the website. X could restrict or stop the API we use for login.

10. No endorsement

Anyone can lock a bag for any public X account. A bag held for a person does not mean they know about, approve, endorse or promote the coin. Don’t buy a coin because a famous account has a bag. HeldFor is not affiliated with X Corp. or with any account shown.

11. Values shown on the site

Prices, market caps and bag values are estimates from on-chain data and third-party price sources, may be delayed or wrong, and say nothing about what you could actually sell for.

12. Regulatory risk

Crypto-asset rules are changing in the EU (MiCA) and elsewhere. HeldFor may have to change, restrict access in some countries, or stop. Access is not allowed from sanctioned or restricted countries.

13. Tax

Launching, trading, receiving, withdrawing or burning tokens may be taxable. You are responsible for your own taxes.
